These Terms of Service ("Terms") form a legally binding agreement between you and Yoley Limited, a company registered in England and Wales (company number 14113958) with its registered office at Sterling House, F2/F3, Davidson Road, Lichfield, England, WS14 9DZ ("Yoley", "we", "us").
By downloading, installing or using the Yoley app ("the App") you agree to these Terms. If you do not agree, do not use the App.
These Terms should be read alongside our Privacy Policy, which explains how we handle your personal data. We maintain a version history of these Terms — see section 18.
To use Yoley you must:
Yoley is a business-to-business tool. It is not intended for personal, domestic, or consumer use. If you are a consumer (using the App outside of a trade, business, or profession), please note that certain consumer protection rights under the Consumer Rights Act 2015 may apply to you in addition to these Terms.

Some Pro features are released over time. Where a feature is not yet available, it will be made available to active Pro subscribers as part of their subscription when it launches, unless stated otherwise.
The core features of Yoley are available free of charge. We reserve the right to adjust which features are included in the free tier with reasonable notice.
We aim to keep the App available at all times but do not guarantee uninterrupted access. We may suspend the service temporarily for maintenance, updates, or reasons outside our control (including Apple App Store availability, iCloud outages, AI provider downtime, or payment processor downtime).
Yoley Pro is an auto-renewable subscription billed monthly at £9.99 per month (inclusive of any applicable taxes).
You may cancel your subscription at any time via Settings → Apple ID → Subscriptions on your device. Cancellation takes effect at the end of the current billing period; you retain access to Pro features until then.
All subscription purchases are processed by Apple. Refund requests must be made directly to Apple via reportaproblem.apple.com. We have no ability to issue refunds for App Store purchases.
We may change the subscription price. Apple will notify you of any price increase before your next renewal, and you will have the option to accept or cancel.
We may offer free trial periods from time to time. If a free trial is offered, the terms of that trial will be clearly displayed before you subscribe. Unused portions of a free trial are forfeited upon purchase.
All card payment processing, Pay by Link, Pay by Bank and related merchant services available in the App are provided by Monek Merchant Services Limited ("Monek"), Yoley's exclusive embedded payments partner. Monek is authorised and regulated by the Financial Conduct Authority.
The App and our website may allow you to apply for a Monek merchant account. Where you choose to apply, you authorise Yoley to pass the information you provide to Monek so that Monek can assess and process your application. Yoley acts as an introducer and partner only; the decision to open an account, and the operation of any account opened, rest solely with Monek. We handle the information you submit in accordance with our Privacy Policy. Any merchant account and the resulting agreement are between you and Monek.
The App may include an AI-powered assistant that answers questions and provides general business guidance ("the AI assistant"). It is an optional feature and may form part of Yoley Pro.
Yoley may provide tools that let you send promotions, offers, reminders or other messages to your own customers (for example by email, SMS or messaging apps). Where you use these tools:
You retain full ownership of all data and content you create in the App (invoices, customer records, photos, etc.). By using the App you grant us no licence to use that content for any purpose other than providing the service to you.
By default, your core business data is stored in your own iCloud account via Apple CloudKit, and we do not have routine access to your business records.
Some features necessarily involve processing or transmitting specific data away from your device — for example card payments and merchant-account applications (Monek), the AI assistant (our AI provider), and customer messaging. Where this happens, only the data needed for that feature is used, as described in these Terms and our Privacy Policy.
You are responsible for the accuracy and completeness of all data you enter into the App, including but not limited to VAT numbers, company registration details, invoice amounts, and customer information, and for maintaining adequate backups of your data.
You must not use the App to:
We reserve the right to suspend or terminate your access if we reasonably believe you are in breach of this section.
You are solely responsible for:
We strongly recommend you work with a qualified accountant for tax and financial advice.
The App, including its design, code, branding, and content, is owned by Yoley Limited and protected by copyright, trade mark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the App for its intended purpose in accordance with these Terms.
"Yoley" and the Yoley logo are trade marks of Yoley Limited. You may not use them without our prior written consent. The Monek name and logo are trade marks of their respective owner.
To the fullest extent permitted by English law:
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.
If you are a consumer (using the App outside a business context), your statutory rights under the Consumer Rights Act 2015 are not affected by these Terms.
The App integrates with third-party services including Apple (iCloud and the App Store), Monek Merchant Services Limited (payments and merchant accounts), our AI provider (the AI assistant), and Open-Meteo (weather). We are not responsible for the availability, accuracy, or conduct of these services. Your use of third-party services is governed by those providers' own terms.
We may update the App and these Terms from time to time. We will provide reasonable notice of material changes via an in-app notification, and we record each revision in the version history at section 18. Continued use of the App after changes take effect constitutes your acceptance of the revised Terms.
If you do not accept a material change, you may cancel your subscription and stop using the App.
You may stop using the App at any time by deleting it from your device. If you have an active Pro subscription, cancellation must be done via the App Store (see section 4.3).
We may terminate or suspend your access with immediate effect if you materially breach these Terms, or with 30 days' written notice for any other reason. On termination your data remains in your iCloud account; we have no data to delete on our side, save for any limited records held to provide features described in section 8, which are dealt with under our Privacy Policy.
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection law requires otherwise.
Before bringing a formal dispute, we encourage you to contact us at legal@yoley.com so that we can try to resolve the matter informally.
We track changes to these Terms here. The "Effective date" and "Version" at the top of this page always reflect the current version.
