Plain English summary: Yoley is a free business management app for UK tradespeople. There is an optional Pro subscription at £9.99/month. You own your data. We are not responsible for tax, legal or financial decisions you make using the app. Governing law is England and Wales.

1. About these terms

These Terms of Service ("Terms") form a legally binding agreement between you and Merricot Limited, a company registered in England and Wales (company number 10973068) with its registered office at Sterling House, F2/F3, Davidson Road, Lichfield, England, WS14 9DZ ("Yoley", "we", "us").

By downloading, installing or using the Yoley app ("the App") you agree to these Terms. If you do not agree, do not use the App.

These Terms should be read alongside our Privacy Policy, which explains how we handle your personal data.

2. Eligibility

To use Yoley you must:

Yoley is a business-to-business tool. It is not intended for personal, domestic, or consumer use. If you are a consumer (using the App outside of a trade, business, or profession), please note that certain consumer protection rights under the Consumer Rights Act 2015 may apply to you in addition to these Terms.

The core features of Yoley are available free of charge. We reserve the right to adjust which features are included in the free tier with reasonable notice.

3.4 Availability

We aim to keep the App available at all times but do not guarantee uninterrupted access. We may suspend the service temporarily for maintenance, updates, or reasons outside our control (including Apple App Store availability, iCloud outages, or payment processor downtime).

4. Subscriptions

4.1 Yoley Pro

Yoley Pro is an auto-renewable subscription billed monthly at £9.99 per month (inclusive of any applicable taxes).

You may cancel your subscription at any time via Settings → Apple ID → Subscriptions on your device. Cancellation takes effect at the end of the current billing period; you retain access to Pro features until then.

4.4 Refunds

All subscription purchases are processed by Apple. Refund requests must be made directly to Apple via reportaproblem.apple.com. We have no ability to issue refunds for App Store purchases.

4.5 Price changes

We may change the subscription price. Apple will notify you of any price increase before your next renewal, and you will have the option to accept or cancel.

4.6 Free trials

We may offer free trial periods from time to time. If a free trial is offered, the terms of that trial will be clearly displayed before you subscribe. Unused portions of a free trial are forfeited upon purchase.

5. Payment processing (Monek)

Card payment processing and Pay by Link services within the App are provided by Monek Merchant Services Limited, an FCA-authorised payment institution. By using these features you also agree to Monek's own terms and conditions.

6. Your data and content

You retain full ownership of all data and content you create in the App (invoices, customer records, photos, etc.). By using the App you grant us no licence to use that content for any purpose other than providing the service to you.

Your data is stored in your own iCloud account via Apple CloudKit. We do not have access to your business records. You are solely responsible for maintaining adequate backups of your data.

You are responsible for the accuracy and completeness of all data you enter into the App, including but not limited to VAT numbers, company registration details, invoice amounts, and customer information.

You must not use the App to:

8. Tax and financial responsibility

Important: Yoley is a record-keeping and business management tool. It is not a qualified accountant, tax adviser, or financial adviser. Nothing in the App constitutes financial, tax, or legal advice.

9. Intellectual property

The App, including its design, code, branding, and content, is owned by Merricot Limited and protected by copyright, trade mark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the App for its intended purpose in accordance with these Terms.

"Yoley" and the Yoley logo are trade marks of Merricot Limited. You may not use them without our prior written consent.

10. Limitation of liability

To the fullest extent permitted by English law:

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.

If you are a consumer (using the App outside a business context), your statutory rights under the Consumer Rights Act 2015 are not affected by these Terms.

11. Third-party services

The App integrates with third-party services including Apple iCloud, Monek, and Open-Meteo. We are not responsible for the availability, accuracy, or conduct of these services. Your use of third-party services is governed by those providers' own terms.

12. Changes to the App and Terms

We may update the App and these Terms from time to time. We will provide reasonable notice of material changes via an in-app notification. Continued use of the App after changes take effect constitutes your acceptance of the revised Terms.

If you do not accept a material change, you may cancel your subscription and stop using the App.

13. Termination

You may stop using the App at any time by deleting it from your device. If you have an active Pro subscription, cancellation must be done via the App Store (see section 4.3).

We may terminate or suspend your access with immediate effect if you materially breach these Terms, or with 30 days' written notice for any other reason. On termination your data remains in your iCloud account; we have no data to delete on our side.

14. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection law requires otherwise.
